Legal Counsel
The Mullings Group Search Canada is in search of Legal Counsel to join a private family office investment enterprise based in Victoria, BC.
Reporting to the President, the role of Legal Counsel will be responsible for providing legal guidance and support to the organization and subsidiaries.
The Legal Counsel will work closely with internal and external professionals to ensure compliance with laws and regulations, manage contractual matters, oversee a complex corporate structure and provide transactional support on investment and real estate matters.
The incumbent will be responsible for managing corporate records and the execution of legal agreements.
The successful individual thrives in fast-paced environments, can manage through ambiguity and complexity, create and simplify processes, and simultaneously support and prioritize varying requirements and tasks.
This individual has excellent communication and organizational capabilities with demonstrated ability to identify and eliminate bottlenecks, provide escalation management, anticipate, and make trade-offs and balance administrative and business needs versus operational constraints.
This role requires a high level of creative, problem-solving skills, is highly collaborative with a growth mindset and team based leadership approach.
Responsibilities
- Reviews, drafts, and negotiates various types of documents and agreements, including investment manager / consultant agreements, subscription documents, KYC / banking documents, associated real estate transactions (leasing, acquisition, disposition), etc.
- Provides advice with respect to legal issues related to compliance, governance, intellectual property, corporate and regulatory filings, corporate structure, and other legal / commercial issues, as required.
- Provides Corporate Secretarial support, as required, to ensure effective corporate governance and compliance with corporate bylaws;
including, but not limited to :
- Prepares and circulates all necessary agendas and documents in advance of meetings;
- Documents meeting minutes and action items and distributes them to required stakeholders.
- Prepares corporate resolutions, as required, including changes in applicable registered and records office(s), appointments, and removal of directors, etc.
- Prepares annual documents and maintains corporate records and minute books.
- Creates, updates, and maintains organizational corporate charts.
- Manages legal documentation, including creating new electronic files / folders, maintaining large and complex files as well as developing, maintaining, and utilizing an orderly filing and retrieval system to ensure ease of reference to historical paper or electronic records.
- Stays abreast of industry trends and works proactively to improve performance reporting and operational processes.
Qualifications
- LL. B. from a reputable law school.
- License to practice law in British Columbia or other Canadian jurisdiction in good standing.
- Minimum of 6 years post qualification working experience.
- Previous experience in private practice, particularly within a family office is an asset.
- Experience and proficiency in negotiating and drafting contracts and transaction management.
- A high degree of professional ethics and standards.
- Excellent attention to detail and time management skills.
- Excellent verbal and written communication skills with the ability to draft comprehensive written reports and present to stakeholders at all levels.
- Ability to manage and maintain private and confidential information with a high degree of professionalism.
