Role :
As the sole in-house legal counsel in Canada, the Legal Counsel will provide advice and guidance on various legal matters for all Egis Business Lines in the region.
You will be a member of the Group Legal, Ethics & Compliance department (LE&CD), reporting directly to the head of Business Legal based in France and indirectly to the North American CEO.
You will collaborate with the other LE&CD’s teams based in France as well as the other inhouse Business legal counsel in other regions, ensuring adherence to centralized practices of the department (corporate, IP, insurance, Ethics & Compliance etc.
With operations across Canada, including the province of Quebec, the ability to work seamlessly in both English and French is critical to the role.
Responsibilities :
Key responsibilities include drafting and negotiating commercial contracts, managing disputes and claims, overseeing corporate housekeeping, and implementing compliance programs.
Specific job duties include :
- Providing solution-oriented advice, recommendations, support, and training on legal issues and regulatory risks.
- Offering guidance on various agreements, including engineering, consulting, and professional services agreements, procurement contracts, cooperation, consortium, and joint venture agreements.
- Managing and supervising disputes, legal actions, litigation, and regulatory risks, collaborating with external counsels as needed.
- Overseeing Ethics & Compliance in the country, participating in and overseeing the Ethics & Compliance program, and contributing to enriching the risk culture within the country.
- Managing corporate entity housekeeping, including changes of D&O, approval of annual financial statements, and maintenance of operational licenses.
- Providing day-to-day legal support to operations and functions, including legal watch, knowledge management, and training of operational staff.

Fluent in English and French.
Experience :
- 7-10 years' experience as an in-house lawyer in an international environment, with management experience, ideally in the technical engineering or construction / real estate sectors.
- Knowledge of international contracts such as FIDIC and IFIs (e.g., WB, JICA, AFD, ADB) is a plus.
Education :
Master's Degree / Postgraduate in Law with a strong knowledge of private and public law.
Skills :
- Demonstrable experience in commercial law, corporate law, and regulatory or administrative law in Canada.
- Strong leadership skills with the ability to collaborate effectively in a complex matrix environment with Legal, Ethics and Compliance Departments, and business stakeholders;
in particular coordinating with cross-functional and cross-country teams in complex transactions.
- Solution-oriented mindset, energetic, motivated self-starter, with a capacity to challenge the status quo and strive for excellence in a fast-paced environment.
- Flexibility and adaptability to changes while meeting deadlines.
- Well-organized with the ability to handle multiple projects.
- Analytical mindset and critical thinking skills.
