Job Summary

Reporting directly to the Chief Legal Officer, General Counsel & Secretary, the Director, Legal Counsel will be a key contributing member to the legal team, providing high quality legal advice and guidance to the Chico’s Quebec-based operations, and generally supporting Chico’s affiliates’ legal affairs company-wide as assigned.

Day to day activities will involve handling matters relating to corporate and commercial affairs, with significant focus on real estate, leasing, franchising and regulatory compliance, as well as contract negotiations, information technology and cyber security, employment, public company corporate governance and securities compliance and more.

This role requires a fluently bilingual (both verbal and written) candidate in both French and English, ideally located in the greater Montreal area.

Essential Duties and Responsibilities

  • Providing legal advice and expertise to the company specializing in real estate, leasing, franchising, and regulatory compliance, and other corporate and commercial matters relating to the business including but not limited to privacy, CASL, Bill 96, Law 25, and information technology and cyber security
  • Negotiating and drafting contracts
  • Managing outside counsel
  • Anticipating and mitigating potential legal problems within the organization
  • Developing strategies to achieve efficiencies and reduce potential areas of risk.

Skills, Experience, Education, Certifications

  • Admitted in good standing with the Quebec Bar
  • Must have 10+ years strong real estate and leasing and corporate and commercial experience gained either in private practice or in house
  • Previous exposure to the retail landscape, including familiarity with franchising, marketing, merchandising, supply chain, information technology and cyber security, and public company compliance requirements, would be strong assets
  • Occasional travel between Montreal and Toronto will be required.

Les activités quotidiennes impliqueront la gestion de questions relatives aux affaires corporatives et commerciales, avec un accent particulier sur l'immobilier, le leasing, le franchisage et la conformité réglementaire, ainsi que les négociations contractuelles, la technologie de l'information et la cybersécurité, l'emploi, la gouvernance des sociétés publiques et la conformité en matière de valeurs mobilières, et plus encore.

Ce rôle exige un candidat parfaitement bilingue (à l’oral comme à l’écrit) en français et en anglais, idéalement situé dans la grande région de Montréal.

Fonctions et responsabilités essentielles

  • Fournir des conseils juridiques et une expertise à l'entreprise, en se spécialisant dans l'immobilier, le leasing, le franchisage et la conformité réglementaire, ainsi que d'autres questions corporatives et commerciales liées à l'activité, y compris mais sans s'y limiter à la confidentialité, la LCAP, le projet de loi 96, la loi 25, et la technologie de l'information et la cybersécurité.
  • Négocier et rédiger des contrats.
  • Gérer les avocats externes.
  • Anticiper et atténuer les problèmes juridiques potentiels au sein de l'organisation.
  • Développer des stratégies pour atteindre des gains d'efficacité et réduire les zones de risque potentielles.

Compétences, expérience, éducation, certifications

  • Admis en règle auprès du Barreau du Québec.
  • Doit avoir plus de 10 ans d'expérience solide en immobilier, leasing et affaires corporatives et commerciales acquise soit en pratique privée, soit en entreprise.
  • Une exposition préalable au paysage de la vente au détail, y compris une familiarité avec le franchisage, le marketing, le merchandising, la chaîne d'approvisionnement, la technologie de l'information et la cybersécurité, ainsi que les exigences de conformité des sociétés publiques, serait un atout important.
  • Des déplacements occasionnels entre Montréal et Toronto seront requis.
