Reporting to the General Counsel of Samsung Electronics Canada ( Samsung Canada ), this individual will be the primary point of contact on day-to-day legal matters to Samsung Research Canada ( SRCA ), a division of Samsung Canada.
This individual will assist with the provision of effective legal services to both SRCA and Samsung Canada.
- The role will primarily focus on providing legal advice and support on the development and coordination of projects involving the protection of IP;
- providing employment-related legal advice, including drafting various employment documents and conducting compliance training and investigations;
negotiating and drafting transactional documents and agreements; providing guidance on applicable privacy laws; and establishing appropriate corporate compliance policies and procedures.
Role and Responsibilities
Essential Duties and Responsibilities :
- Support the commercialization and protection of intellectual property matters by providing sound legal advice on various projects and agreements involving copyright, trademarks, patents and trade secrets
- Provide strategic advice on complex technology matters, including cloud, AI and machine learning initiatives
- Provide legal support and advice on a wide range of employment law matters, including drafting and reviewing employment contracts, policies and other employment-related documents
- Conduct employment and compliance investigations
- Collaborate with the General Counsel, People Team and other stakeholders on performance management and discipline matters;
cross-border employment matters; and prevention and pre-litigation matters
- Draft and negotiate contracts and transactional documents in a fast-pace corporate environment, including but not limited to : IP licensing agreementsSAAS agreementsProfessional services agreementsService agreements, MSAs, SOWs, and NDAsRequests for proposals
- Identify and advise on privacy obligations and data management, including cyber security, data transfers, privacy impact assessments, and transfers of data
- Monitor and report on legislative developments, and prepare for legislative / regulatory changes
- Provide general legal advice as requested by the General Counsel
- Develop and maintain strong relationships with global partners and affiliates
- Engage in legal research of complex legal issues and provide clear and practical legal advice
Skills and Qualifications
Education :
- Law degree from a Canadian school or a recognized international school
- Called to the bar and a member in good standing of the Law Society of Ontario or the law society of another Canadian province
Knowledge :
Extensive knowledge of the following areas of law : Intellectual property lawEmployment law and investigationsContracts / contract negotiationPrivacy lawCorporate ethics and compliance
Experience :
Solid legal training in corporate commercial law gained from a law firm or corporate setting with 3 to 5 years of experience
