General Accountability

Reporting to the Corporate Services Manager, the Corporate Services Paralegal will work alongside the Corporate Services team in providing corporate legal services to lawyers and their respective clients.

Duties include incorporations and organizations, share transactions, director changes, extra provincial registrations and maintenance, general annual maintenance, and pre-transaction and post-transaction support.

Primary Responsibilities

  • Preparation of documents relating to B.C., Federal, extra provincial companies, limited partnerships, and societies / not-for-profit, including name reservations, business name registrations, incorporations, name changes, director and officer changes, change of registered and records office, dividends, redemptions, voluntary dissolutions, and restorations.
  • Conducting corporate searches in BC, Canada, USA, and overseas.
  • Preparation of documents to correct minute book deficiencies.
  • Assist with the preparation of annual documents for B.C., Federal, Societies and extra provincial entities.
  • Reviewing and maintain filings in virtual minute books.
  • Respond to client inquires and independently manage files.
  • Attend to various filings and registrations with the B.C. Registry and Corporations Canada.
  • Other duties as required.

Qualifications

  • Minimum 5 years’ experience in Corporate Records (or comparable experience).
  • Motivated, detail oriented, highly organized and ability to deal effectively with timelines.
  • Strong verbal and written communication skills.
  • Ability to function well under pressure and handle multiple assignments.
  • Ability to work both independently with minimal direction and in a team-oriented atmosphere.
  • Strong computer skills including Microsoft Office.
  • Good knowledge of ALF corporate program is considered a strong asset.
  • Preference will be given to candidates who have completed an accredited paralegal studies program.

Compensation + Benefits

The typical salary range for this position is $80,000 $90,000 annually; the base pay offered is based on location and may vary depending on job-related knowledge, skills, experience, and internal and market equity.
