As a Corporate Law Clerk with EY Law LLP, you will provide our clients with quality service. Our team provides commercial, corporate and partnership law advisory services, including corporate due-diligences, corporate re-organizations, mergers and acquisitions, financings, joint ventures, transfer pricing, drafting commercial contracts and drafting employment policies and procedures.
Skills and attributes
- Utilize your technical legal and procedural understanding of corporate and employment law and effectively apply this knowledge to client situations.
- Assist in drafting, reviewing and analyzing corporate commercial contracts, including but not limited to service agreements, joint operating agreements, participating agreements and other agreements necessary to conduct operations.
- Ensure that applications, agreements and contracts are filed in a timely manner.
- Meet with Corporate Lawyers to discuss questions raised by clients and then relate information back to leadership.
- Preferred working knowledge and familiarity with regards to Canadian corporate and contract law and experience in : Mergers and Acquisitions Distribution, licensing and shareholder agreements Corporate governance : Incorporations and organizations (Ontario, Quebec and federal);
Amendments, dissolutions, continuances and amalgamation (Ontario, Quebec and federal). Commercial agreements
- Draft emails in response to queries by clients and build trust through effective and accurate communication.
- Assist in the elaboration of scopes of work and client step-memos.
- Follow up with internal teams to ensure all processes and procedures are in alignment to execute client request.
- Ensure that lawyers are always advised of client related issues.
- Attend seminars and professional development courses relevant to the area of specialty as required.
Qualifications
- Undergraduate University Degree, College Diploma, or equivalent experience.
- 3-5 years in a legal support role preferably in the corporate and employment law space.
- Excellent organizational, verbal and written communication skills.
- Exceptional attention to detail.

- Able to multi-task and manage a variety of concurrent projects.
- A high level of professionalism and the ability to appropriately manage sensitive and confidential information.
