SUMMARY
Reporting to the Corporate Counsel, the Corporate Paralegal will manage and maintain physical and electronic corporate records, compliance and related reports for Doman Building Materials Group Ltd. and its subsidiaries and affiliated entities (“Doman Group”). The role will assist with contract management : review and analyze corporate records, contracts and disclosure documents, and oversee the administration, organization and management of all corporate records and legal documents. The Corporate Paralegal will provide general support to the legal team as required.
EXPECTED CONTRIBUTIONS
- Manage, organize and maintain corporate records of Doman Group.
- Prepare and file annual reports, notice of change of directors, extra-provincial registrations, and other required corporate forms with BC Corporate Registry, Corporations Canada, and other jurisdictions.
- Assist with preparation of corresponding resolutions with respect to annual reports and corporate filings.
- Draft documents relating to incorporations, amalgamations, amendments / alterations, redemptions, dividends, continuances, dissolutions, revivals, licenses, limited partnerships, and business names.
- Conduct due diligence minute book reviews, identify deficiencies, and rectify issues.
- Assist in preparing information circulars, AGM and proxy materials, annual information forms, treasury orders, stock option / RSU certificates, and director consent resolutions.
- Assist in preparing and filing disclosure documents (SEDAR+, SEDI, BC Online, TMX Linx, etc.).
- Prepare minutes of Board and Committee meetings.
- Prepare and post all materials (notices, agendas, minutes) for Board and Committee meetings, identifying matters for discussion, consent, and approval, all in a timely and consistent manner.
- Liaise with auditors, lawyers, tax advisers, bankers, and shareholders on corporate governance matters as requested by the legal team.
- Ensure compliance obligations under relevant laws and the requirements of regulatory authorities and stock exchange are met.
- Respond to requests for information and documentation and perform general legal services.

COMPENSATION AND BENEFITS
The typical hiring range for this position is $85,000 - $110,000 annually. The base pay offered is based on geographical location and may vary depending on the applicant’s job-related knowledge, skills, experience, and internal equity. Similar positions located in other geographical locations may not necessarily receive the same salary range.
