Corporate Paralegal / Legal Coordinator
Reporting to the Senior Director, Legal Affairs, the Legal Coordinator will be charged with coordinating the maintenance of all corporate files and records for the entire kdc / one group, which include subsidiaries located in 14 countries, and act as the main point of contact for “know your client” requests. The candidate will also play a pivotal role in providing support to the Legal Affairs Department in various strategic projects.
Essential Duties and Responsibilities :
- Coordinate the preparation of the required documentation regarding corporate registry filings, intercompany and treasury operations, and corporate reorganizations;
- Coordinate and direct, as required, external legal advisors worldwide mandated by kdc / one for record keeping purposes;
- Ensure appropriate updates of the minute books and corporate registers of kdc / one’s subsidiaries, using an entity management tool;
- Assist the Legal Affairs Department in the closing of M&A, refinancing and other special projects, as well as due diligence searches;
- Act as the main point of contact for “know your client” (KYC) and “ultimate beneficial owner” (UBO) requests;
- Ensure that the corporate organization chart of kdc / one and its subsidiaries is appropriately updated;
- Assist the Corporate Secretary in the preparation of board meetings and various related internal quarterly processes;
- Participate in standardizing corporate legal processes;
- Act as an intermediary and coordinate / confirm legal and corporate information required by other departments;
- Participate in the realization of various projects carried out by the Legal Affairs Department.
Key requirements :
Paralegal certificate from an accredited program or degree in a relevant field is preferred, but other relevant professional experience in the legal field may be accepted.More than three (3) years of relevant experience within in-house legal department and / or law firm.Experience with international entity management is considered an asset.Determination and detailed oriented.Autonomous, dynamic and proactive.Able to manage several files methodically at the same time and meet deadlines in a fast-paced environment.Flexibility and keen interest in rising to new challenges and working for a dynamic and expanding organization.Excellent written and verbal communication skills.Fluent in English and French (written and spoken).Proficient with MS Office / SharePoint / One Drive / Visio.Knowledge of governance software such as Diligent is considered an asset.Other details
