POSITION SUMMARY :
- The Corporate Counsel is responsible for : reviewing vendor contracts; ensuring appropriate terms and conditions are negotiated and incorporated;
- reviewing changes to the company's standard agreements; interfacing with business department Team Members and all levels of operations to provide day-to day legal advice and counsel in multiple areas of the law, including but not limited to, commercial, business, employment, insurance, privacy, and real estate;
assist with litigation management; drafting policies and procedures, and other assignments, as necessary. ESSENTIAL DUTIES AND RESPONSIBILITIES :
The essential duties and responsibilities of this position include, but are not limited to, the following :
- Work closely with contract business owners to ensure proper understanding of contract provisions;
- Work with the Legal Department to establish and maintain a centralized location / database of client contracts, trademarks, licenses and case files;
- Under the supervision of the General Counsel, responsible for managing and working with outside counsel on litigation matters, including reviewing, analyzing and modifying pleadings, law and motion and Agreements.
Partner and strategize with outside counsel to determine the best and most cost-effective ways to litigate the given case.
- Attend hearings, mediations and arbitrations as company representative. Manage and communicate with experts. Prepare case reports to General Counsel on assigned cases or as requested;
- Assist with investigations and gather information for issues relating to Human Resources, Compliance and Risk Management;
- Draft and revise company policies;
- Maintain thorough understanding of company's insurance programs to ensure appropriate issues addressed in contracts and subcontracts, as well as, the effect of those policies on assigned cases and projects; and
- Perform additional responsibilities, as needed or requested.
SKILLS AND QUALIFICATIONS :
- Bachelor's Degree;
- Juris Doctorate Degree; preferably from an ABA accredited law school;
- License to practice law, in good standing, in California;
- 1 - 3 years legal experience, with an emphasis contract administration, or an equivalent, as it relates to the job as determined by management;
- Ability to work independently, yet part of a Team;
- Strong analytical skills, with the ability to gather and weigh facts and information from many sources, draw conclusions and make recommendations to General Counsel;
- Demonstrated ability to work effectively with individuals at all organizational levels, both internally and externally;
- Ability to assess business risk in varying situations and make associated recommendations to minimize overall risk to the company;
- Strong written and oral communication skills as required to interface with customers and subcontractors.
- Ability to work on / manage multiple priorities simultaneously, work with frequent interruptions and meet established deadlines; and
- Proficient computer skills, including experience with Microsoft Word, Excel, Outlook, and the Internet.

- Occasional travel may be required in this position.
- The work environment is that typical of an office.
- While performing the duties of this job, the employee is regularly required to sit, stand, and use the hands to handle objects, tools or controls.
