We’re in search of an experienced Corporate Law Clerk to join our team in Brampton, CA. The Legal Assistant will have an immediate and lasting impact on our operations, guiding us toward positive outcomes with comprehensive legal research, document creation, and database maintenance.
Responsibilities :
- Be responsible for the formation of new corporate entities and implementation of corporate reorganizations (e.g. amalgamations, continuances, dissolutions).
- Prepare legal documentation, pleading, briefs, settlement agreements and writs
- Prepare the documentation ahead of, and support, the annual shareholders’ meetings (Annual Information Form and Management Proxy Circular)
- Support and / or perform corporate secretarial activities relating to all legal entities including minute books, resolutions, authorized signatories and powers of attorney.
- Assist in preparing or prepare director and shareholder meeting resolutions and materials.
- Conduct relevant legal research and other related duties as required by legal team members.
- Reviewing and drafting a variety of contracts to accurately reflect business requirements; recommend alternatives, additions or changes, when necessary, to conform with internal policies, minimize risk, and achieve proper framing of the business needs.
- Create and implement corporate compliance procedures
- Scheduling meetings, telephone calls, mediations, court attendance etc.
- Manage department files for legal services which includes opening, maintaining and closing files using file management software and filing of all applicable documentation.
- Manage tracking, monitoring and notifications and renewals for all current contracts pursuant to cross-business needs
- Support case preparation by preparing case summaries and materials for meetings and court hearings
- Accurately review, proofread and assist with any materials, including documents, reports, memos, briefings, presentations, forms and other items ensuring accuracy and completeness
- Maintain and update internal legal files and documents.
Requirements
Post-secondary education in the legal field.A minimum of three (3) years’ experience as a Paralegal or Corporate Legal Assistant is required.Having a paralegal license is considered a definite assetParalegal experience is required.Previous experience in transportation industry is considered an assetProficiency in Microsoft Office with aptitude to learn new software quicklyHigh level of detail orientation and interpersonal skillsExceptional organization / document management skillsExcellent written and verbal communication skillsBenefits
