Senior Manager, Commercial and Legal

The RTM team is looking for a lawyer to act as its Commercial and Legal Manager dealing with a range of critical commercial and legal issues to assist the organization to successfully continue to deliver the maintenance operations of RTM for the system.

You as a Senior Manager, Commercial and Legal will :

  • Be responsible for overseeing the legal and commercial affairs of EllisDon’s Ottawa Light Rail Project
  • Develop and implement legal strategies aligned with EllisDon’s commercial objectives.
  • Provide expert legal advice on a wide range of commercial matters within a complex Public Private Partnership (P3) environment.
  • Ensure compliance with relevant laws, regulations, and industry standards.
  • Oversee the drafting, negotiation, and execution of complex commercial contracts, including supplier agreements, term sheets, memoranda of understanding, variations and / or change orders, settlement agreements.
  • Review and analyze contract terms to safeguard EllisDon’s interests and minimize risk.
  • Identify potential legal and commercial risks and develop strategies to mitigate them.
  • Manage and resolve disputes, including overseeing multiplex litigation and alternative dispute resolution processes.
  • Lead and mentor a team of professionals, fostering a collaborative and high-performance environment.
  • Work closely with senior / executive management and cross-functional teams to support business development and operational goals.
  • Serve as the primary legal liaison for external stakeholders, consortia partners, and legal counsel.
  • Represent EllisDon in negotiations and communications with external parties.

Is this the right role for you?

  • You have a minimum of 6-10 years of legal experience with a focus on commercial law, including experience in a senior or director-level role.
  • You have a Juris Doctor (JD), or Bachelor of Laws (LLB) degree from an accredited law school. A business degree or qualification would be considered advantageous.
  • You have experience in Public Private Partnerships and Operations & Maintenance.
  • You have proven expertise in commercial contract negotiation and management.
  • You have a strong understanding of commercial law, and risk management.
